PCLS serves entrepreneurs and start-ups, focusing on private transactions, including angel investments, employment agreements, private company stock purchases, grants and sales, service provider relationships and other contractual relationships. We spend the time to make sure that our clients are heard, understood, and served individually and personally. Having worked as general counsel or senior counsel for technology start-ups over the past 2 decades (reddit, trulia, Flip Video, PayPal, AdBrite, Vouch & Ecast), I now focus on the individuals who make it all happen: entrepreneurs, executives, engineers and angel investors. My clients include some of the most interesting, successful and innovative individuals who are or have been early employees, founders or investors at companies ranging from the brand-new to the already-public. They seek to give back to a new generation of entrepreneurs, or they seek to start again. As they proceed along their chosen course, I provide legal advice that helps them achieve the best outcome for themselves and their families. For angel investors, I provide targeted advice and quantitative analysis from a unique vantage point of seeing dozens of term sheets and forms. I take the time to walk new angels through the process, discussing the advantages and disadvantages of various instruments including straight stock purchase agreements and convertible notes. For executives, entrepreneurs and engineers on-boarding or off-boarding companies, I provide deep analyses of private stock packages and company reserved rights to help you navigate the sometimes complex maze of private company stock transactions.I also assist individuals with their intellectual property and other commercial transactions, including large value sales, entertainment-related contracts (ghost-writing, option agreements) and real estate investments. I focus on individuals over companies because I genuinely like people, and I especially like my clients.

I ran for Palo Alto City Council to address the overwhelming corruption in our city. Our elected officials and the city staff they appoint continue to serve only the needs of the huge multi-billion dollar employers and commercial developers that exist here and exploit our land, natural environment, and workforce, while making broad slashes to community services -- services for children, seniors, teens, the disabled, services for art, public transport, medical care, and childcare. As Reddit's first General Counsel, having joined the company when it had fewer than 20 employees, I directly handed the spin off of reddit from its previous parent company, and put in place systems so that reddit can function as a (totally excellent) independent entity. Reddit is not only the front page of the internet - it is also the most addictive and engrossing community of communities anywhere! I am proud to have been part of Reddit's earliest executive team, having been hired by, and working alongside, noted and successful multiple-time CEO Yishan Wong,.
