(Acquired by ACT) As a member of the senior management team, advised on a broad range of business and legal matters, including the acquisition of strategic businesses and the eventual sale of the company to Act, Inc. Review, assess, structure, negotiate, draft, and approve commercial contracts relating to all aspects of the business, including vendor agreements, data agreements, SaaS Agreements, maintenance agreements, technology agreements, master service agreements, confidentiality agreements, license agreements, and other related commercial agreements. Maintained corporate minutes and record books, including drafting corporate resolutions; handle internal and external legal inquiries; manage outside legal counsel and accountants; maintain and update commercial contracts templates. Assist with the design and execution of major business transformation initiatives such as new verticals for the business and review potential business transactions to elevate business performance, profit optimization, and growth opportunities. Leveraged new and current technologies in compliance with privacy regulatory requirements by driving the rollout of OneTrust. Responsible for all aspects of sourcing, analyzing, and executing strategic equity investments with early-stage companies demonstrating new/innovative technologies aligned with Encoura’s mission and corporate initiatives Executive sponsor to lead implementation and integration of contract management system which commenced with a thorough market analysis of solutions to negotiating the contract with the chosen system. Covered the education technology sector for investment, partnership, and/or M&A opportunities, conducted and led diligence and market analysis for deal flow as well as negotiated deal terms.
